Terms of Service

1. Acceptance of Terms

By accessing or using DailyPrices (the "Service"), provided by Ascend Networks LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree, do not use the Service.

2. Description of Service

DailyPrices is a multi-tenant software-as-a-service platform that enables fuel distributors to manage and automate the delivery of daily fuel price quotes to their customers via email.

3. Account Registration

  • Customers receive accounts via invitation only after a sales process.
  • Customer is responsible for maintaining account credentials.
  • One designated tenant administrator per customer organization.
  • Customer must provide accurate information and notify us of changes.

4. Subscription and Billing

  • DailyPrices is offered on an annual subscription basis at $199 per month, billed annually at $2,388 per year.
  • Payment is due upon receipt of invoice.
  • Accepted payment method: ACH bank transfer.
  • Subscription auto-renews on the anniversary of the paid-through date unless cancelled in writing at least 30 days prior to renewal.
  • Trial period: 14 days from acceptance of invitation. No payment required during trial.
  • No refunds for partial subscription periods.
  • Customer is responsible for all applicable taxes.

5. Acceptable Use

Customer agrees not to:

  • Use the Service to send spam or unsolicited communications.
  • Send communications to recipients who have not consented to receive them.
  • Violate any applicable law including the CAN-SPAM Act.
  • Reverse engineer, decompile, or attempt to extract the source code.
  • Resell or redistribute the Service.
  • Use the Service for any illegal purpose.

Violation of acceptable use may result in immediate suspension or termination without refund.

6. Intellectual Property

  • The Service, including all software, design, and content provided by us, is the property of Ascend Networks LLC.
  • Customer retains all rights to data they upload or create within the Service.
  • Customer grants us a limited license to process their data solely to provide the Service.

7. Customer Data

  • Customer data is stored on secure third-party infrastructure (Neon, AWS, Render).
  • We do not sell customer data.
  • We do not use customer data for advertising or marketing purposes.
  • Detailed data practices are described in our Privacy Policy.
  • Customer is responsible for the legality of data they upload, including ensuring they have rights to send communications to recipients on their list.

8. Service Availability

  • We aim for high uptime but do not guarantee uninterrupted service.
  • Scheduled maintenance windows will be communicated in advance when possible.
  • We are not liable for service interruptions caused by third-party providers (hosting, email delivery, and similar).

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that all errors will be corrected.

10. Limitation of Liability

To the maximum extent permitted by law, Ascend Networks LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability shall not exceed the amount paid by Customer to us in the twelve months preceding the claim.

11. Indemnification

Customer agrees to indemnify and hold harmless Ascend Networks LLC from any claims arising from Customer's use of the Service, including claims related to communications sent through the Service or violations of these Terms.

12. Termination

  • Customer may terminate by providing 30 days written notice prior to renewal.
  • We may terminate immediately for violations of these Terms.
  • Upon termination, customer access ends and we may delete customer data after 30 days.
  • Customer may export their data prior to termination.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Broward County, Florida.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated to customers at least 30 days before taking effect. Continued use after changes constitutes acceptance.
